Terms of Service

RhyReel is currently offered as an early-stage platform.

Certain features, pricing, creator programs, monetization tools, payment systems, and other Services may be modified, improved, suspended, or discontinued at any time without prior notice.

You acknowledge that beta features may contain bugs, interruptions, or unexpected behavior.

Your use of beta features is entirely at your own risk.

To use RhyReel you must:

• be at least 18 years old, or
• have permission from a parent or legal guardian if you are under the age of majority in your jurisdiction.

By using the Services, you represent that you satisfy these eligibility requirements.

You are responsible for maintaining the confidentiality of your account credentials.

You agree to:

• provide accurate information;
• keep your information updated;
• protect your password;
• immediately notify RhyReel of unauthorized account access.

You are responsible for all activity occurring under your account.

RhyReel reserves the right to suspend or terminate accounts that provide false information or violate these Terms.

RhyReel uses a virtual digital credit system for eligible purchases and creator support.

Credits are virtual units used only within the RhyReel platform.

Credits are not legal tender.

Credits cannot be transferred between users.

Credits cannot be exchanged for cash except through authorized creator payout programs.

Current Credit value:

1 Credit = USD $1.00

RhyReel reserves the right to change pricing, promotional bonuses, or available Credit packages in the future.

Credits may currently be purchased in the following amounts:

Bonus Credits are promotional.

RhyReel may modify or discontinue promotional bonuses at any time.

Unless otherwise required by law, Credits do not expire.

Credit purchases are processed through authorized third-party payment providers.

Applicable charges may include:

• payment processing fees;
• applicable taxes;
• currency conversion fees;
• bank fees;
• government-required charges.

These charges may vary depending on your payment method and location.

By purchasing Credits, you authorize the applicable payment provider to charge your selected payment method.

Credits are digital goods.

Except where required by applicable law, Credit purchases are non-refundable.

Digital album purchases, Fox Support, Dolphin Support, and other digital purchases made through the Services are generally non-refundable after the transaction has been completed.

If a payment error occurs, users should contact RhyReel promptly for review.

Nothing in this section limits any consumer rights that cannot legally be waived.

RhyReel allows fans to voluntarily support creators.

Current support options include:

Dolphin Support

• 1 Credit

Fox Support

• 5 Credits

Support payments are voluntary.

Support does not transfer ownership of any music, copyrights, trademarks, or other intellectual property.

Support transactions are generally final once completed.

Creators may choose to sell digital albums on RhyReel.

Album prices currently range from:

• Minimum: 5 Credits
• Maximum: 15 Credits

Each creator determines the price of their own album within this range.

Upon purchase:

• the album will be added to the purchaser's personal RhyReel library;
• the purchaser receives a limited, personal, non-exclusive, non-transferable license to access the purchased album through the RhyReel platform;
• access is intended to remain available for as long as RhyReel has the legal right to provide the content.

Purchasing an album does not transfer copyright ownership.

Purchased albums may not be:

• copied;
• redistributed;
• uploaded elsewhere;
• publicly performed without authorization;
• sold;
• shared with others;
• used commercially without the creator's permission.

Unauthorized distribution may result in account suspension and legal action.

RhyReel may introduce additional digital content, including subscriptions, memberships, livestreams, podcasts, creator clubs, merchandise integrations, or other digital offerings.

Any additional products or services may be subject to separate terms or policies.

RhyReel may update:

• Credit packages;
• promotional bonuses;
• pricing;
• creator support options;
• album pricing limits;
• future monetization tools.

Any changes will apply prospectively unless otherwise required by law.

Users remain responsible for reviewing updated pricing before completing purchases.

Creators may earn Credits through eligible monetization features offered by RhyReel, including but not limited to:

• Digital album sales
• Dolphin Support
• Fox Support
• Future creator subscriptions
• Future memberships
• Future monetization programs introduced by RhyReel

RhyReel does not guarantee that any creator will earn income, gain followers, receive exposure, or achieve commercial success through use of the Services.

Creator earnings depend on user activity and participation and may vary over time.

Eligible creators may convert earned Credits into U.S. Dollars through RhyReel's payout system.

Unless otherwise announced by RhyReel:

1 Earned Credit = USD $1.00

RhyReel reserves the right to modify payout procedures, payout schedules, or conversion methods in the future.

Before receiving payouts, creators may be required to complete:

• Identity verification
• Tax verification
• Payment verification
• Fraud prevention reviews
• Ownership verification of uploaded content

Failure to successfully complete these verification processes may delay or prevent payouts.

Creator payouts may be subject to deductions including:

• Payment processing fees
• Bank transfer fees
• Currency conversion fees
• Applicable taxes
• Government-required withholding
• Other disclosed service fees

Creators are solely responsible for reporting and paying any taxes applicable to their earnings.

RhyReel is not responsible for a creator's personal tax obligations.

Creators retain ownership of their original music, lyrics, recordings, artwork, album covers, photographs, metadata, and other original content uploaded to RhyReel.

Uploading content to RhyReel does not transfer ownership of that content to RhyReel.

By uploading content to RhyReel, creators grant RhyReel a worldwide, non-exclusive, royalty-free, transferable (only as necessary to operate the Services), sublicensable license to:

• host;
• store;
• stream;
• display;
• reproduce;
• distribute;
• promote;
• transmit;
• make technical copies;
• perform technical processing;
• improve and operate the Services.

This license exists solely for operating, maintaining, improving, promoting, and providing the RhyReel Services.

The license ends when content is permanently removed from the platform, except where continued retention is reasonably necessary for backups, legal compliance, fraud prevention, dispute resolution, or protection of users and rights holders.

Creators represent and warrant that:

• they own or control all rights necessary to upload the content;
• they have obtained all required licenses and permissions;
• the content is original or properly licensed;
• the content does not violate copyright, trademark, publicity, privacy, or other legal rights;
• all uploaded information is truthful and accurate.

Creators are solely responsible for the legality of all uploaded content.

Creators may upload AI-assisted or AI-generated music only if they possess all legal rights necessary to distribute and monetize that content.

Creators are responsible for complying with the terms and licensing requirements of any artificial intelligence tools used to create their content.

RhyReel does not verify ownership of AI-generated content and assumes no responsibility for disputes arising from AI-generated works.

RhyReel respects the intellectual property rights of creators and copyright owners.

Users may not upload content that:

• belongs to another artist without authorization;
• infringes copyright;
• uses copyrighted recordings without permission;
• uses copyrighted instrumentals without permission;
• unlawfully samples another creator's work;
• violates applicable copyright laws.

Copyright infringement may result in immediate removal of content.

If you believe your copyrighted work has been uploaded to RhyReel without authorization, you may submit a copyright complaint.

Your notice should include:

• identification of the copyrighted work;
• identification of the allegedly infringing content;
• your legal name;
• your contact information;
• a statement made in good faith that the use is unauthorized;
• a statement that the information provided is accurate;
• your electronic or physical signature.

RhyReel may request additional information before taking action.

Upon receiving a valid complaint, RhyReel may:

• review the claim;
• temporarily disable access to the content;
• remove the content;
• suspend monetization;
• suspend or terminate accounts where appropriate.

If you believe your content was removed in error, you may submit a counter-notification as permitted by applicable law.

A valid counter-notice should include:

• identification of the removed content;
• your contact information;
• a statement made under penalty of perjury that you believe the removal was the result of mistake or misidentification;
• your signature.

RhyReel may restore the content if permitted by law and if no legal action is initiated by the complaining party within the applicable time period.

To protect creators and users, RhyReel may investigate:

• duplicate uploads;
• fake artist profiles;
• stolen music;
• manipulated metadata;
• fraudulent monetization;
• payment fraud;
• impersonation;
• suspicious account activity.

RhyReel may request proof of ownership before allowing content to remain on the platform or before issuing creator payouts.

Failure to provide requested documentation may result in:

• removal of content;
• suspension of monetization;
• withholding of payouts;
• account suspension;
• permanent account termination.

RhyReel maintains a zero-tolerance policy toward repeat copyright infringement.

Accounts that repeatedly upload unauthorized content may be subject to:

• removal of infringing material;
• suspension of monetization privileges;
• forfeiture of unpaid earnings related to infringing content;
• permanent account termination.

RhyReel reserves the right to take action without prior notice when necessary to protect creators, rights holders, users, or the integrity of the Services.

To help maintain a safe and respectful community, users may not use the Services to:

• Upload stolen or unauthorized music.
• Upload content that infringes another person's copyright, trademark, or other intellectual property rights.
• Impersonate another artist, creator, company, or individual.
• Provide false identity or payment information.
• Engage in payment fraud or credit card fraud.
• Artificially manipulate plays, followers, likes, creator support, rankings, or engagement.
• Purchase fake streams or use automated bots.
• Upload viruses, malware, or harmful software.
• Attempt to interfere with the security or operation of the Services.
• Harass, threaten, intimidate, or abuse other users.
• Post unlawful, fraudulent, or deceptive content.
• Use the Services in violation of any applicable law or regulation.

Violations of these Terms may result in content removal, suspension of monetization, account suspension, permanent account termination, forfeiture of unpaid earnings related to violations, and, where appropriate, referral to law enforcement.

RhyReel reserves the right to suspend, restrict, or permanently terminate any account that:

• Violates these Terms.
• Repeatedly infringes intellectual property rights.
• Commits fraud or payment abuse.
• Uploads unlawful or deceptive content.
• Attempts to manipulate the platform or creator earnings.
• Poses a risk to users, creators, or the integrity of the Services.

RhyReel may remove content and suspend monetization without prior notice when reasonably necessary to protect users, creators, rights holders, or the platform.

Termination of an account does not automatically entitle a user to a refund of unused Credits or digital purchases, except where required by applicable law.

Users may request deletion of their RhyReel account by contacting RhyReel.

RhyReel may retain certain information after account deletion where necessary to:

• comply with legal obligations;
• resolve disputes;
• enforce these Terms;
• prevent fraud or abuse;
• maintain security;
• comply with tax or financial recordkeeping requirements.

Content previously purchased by other users may remain available to those purchasers if RhyReel has the legal right to continue providing access.

While RhyReel strives to provide reliable Services, we do not guarantee uninterrupted or error-free access.

The Services may occasionally experience maintenance, upgrades, technical issues, outages, or interruptions.

RhyReel shall not be liable for temporary service interruptions beyond its reasonable control.

RhyReel may modify, improve, suspend, or discontinue any feature of the Services at any time, including:

• Credit packages;
• promotional offers;
• creator support features;
• monetization programs;
• album pricing limits;
• subscriptions;
• creator clubs;
• payment systems;
• future features and functionality.

Where appropriate, RhyReel will provide reasonable notice of material changes.

Continued use of the Services following such changes constitutes acceptance of the updated Services.

RhyReel may update these Terms from time to time.

When material changes are made, RhyReel may notify users through the website, mobile application, email, or other reasonable means.

The updated Terms become effective on the published Effective Date.

Continued use of the Services after the Effective Date constitutes acceptance of the revised Terms.

RhyReel does not guarantee that creators will:

• earn income;
• receive creator support;
• gain followers;
• achieve commercial success;
• receive promotional placement;
• obtain record deals or business opportunities.

Creator success depends on many factors outside RhyReel's control.

The Services are provided on an "as is" and "as available" basis.

To the fullest extent permitted by law, RhyReel disclaims all warranties, whether express, implied, or statutory, including warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy, availability, and uninterrupted operation.

RhyReel does not guarantee that the Services will always be secure, error-free, or available without interruption.

To the fullest extent permitted by applicable law, RhyReel, its owners, officers, employees, contractors, affiliates, and partners shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages arising from or relating to the use of the Services.

This limitation includes, but is not limited to:

• loss of profits;
• loss of data;
• business interruption;
• loss of goodwill;
• unauthorized access;
• technical failures;
• third-party conduct.

To the extent permitted by law, RhyReel's total liability for any claim shall not exceed the total amount paid by the user to RhyReel during the twelve (12) months immediately preceding the event giving rise to the claim.

Nothing in these Terms limits liability where such limitation is prohibited by law.

You agree to defend, indemnify, and hold harmless RhyReel, its owners, employees, contractors, affiliates, and partners from and against any claims, damages, liabilities, losses, costs, and expenses (including reasonable attorneys' fees) arising from:

• your use of the Services;
• your uploaded content;
• your violation of these Terms;
• your infringement of another person's rights;
• your unlawful or fraudulent conduct.

These Terms shall be governed by and interpreted in accordance with the laws of the State of Connecticut, United States, without regard to its conflict of law principles.

Any legal dispute arising from these Terms or the Services shall be brought in a court of competent jurisdiction located in the State of Connecticut, unless applicable law requires otherwise.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

These Terms, together with any additional policies published by RhyReel (including the Privacy Policy, Intellectual Property & Copyright Policy, Community Guidelines, Creator Payout Policy, and any future policies), constitute the entire agreement between you and RhyReel regarding the Services.

RhyReel will make reasonable efforts to respond to inquiries in a timely manner. Additional contact information may be published on the RhyReel website as the Services continue to grow.

You must expressly accept these Terms before you may:

• Create a RhyReel account;
• Purchase Credits;
• Upload music or other content;
• Sell digital albums;
• Support creators through Fox or Dolphin Support;
• Receive creator payouts;
• Withdraw earnings to a bank account; or
• Otherwise use the Services.

By clicking "I Agree," checking the applicable box, creating an account, or otherwise accessing or using the Services, you acknowledge that you have read, understood, and agree to be legally bound by these Terms of Service.
